The New York office of Schnader Harrison Segal & Lewis LLP, established in 1984, has grown to be the second largest office in the firm. Today, it serves domestic and international clients in a broad range of industries with transactional, litigation, bankruptcy and private client services. The attorneys resident in Schnader’s New York office are fully integrated into the firm’s nationwide practice groups, enabling delivery of the full range of the firm’s services on a cost-effective basis.

Range of Services

Corporate, Securities, Finance, Mergers and Acquisitions

Schnader's corporate lawyers represent public and private companies including emerging companies, family businesses, women and minority-owned business and non-profit corporations in acquisitions, divestitures, mergers, consolidations, and equity and debt offerings. They regularly work with our tax attorneys to advise clients on corporate governance and business formation and structuring issues, and counsel clients on a wide variety of contractual issues. Attorneys advise public companies on SEC registration, periodic reporting and corporate compliance issues under the federal securities laws, including Sarbanes-Oxley Act and Dodd-Frank Act compliance, as well as stock exchange rules and regulations. As noted below, our lawyers advise a number of domestic and international clients on cross-border transactions. Our finance attorneys represent borrowers, lenders, trustees, sureties, guarantors, issuers and investors in structuring and restructuring a broad range of transactions. These include asset-based lending, real estate finance, unsecured financings, mezzanine and subordinated debt facilities, high yield debt structures, bridge facilities, DIP financings, private equity and venture capital transactions, and private securities, convertible note and preferred stock offerings. Our corporate attorneys also handle recapitalizations, corporate restructurings, and reorganizations in concert with our bankruptcy practice group.

Creditor’s Rights and Business Restructuring

Our nationally ranked creditors' and business restructuring lawyers provide aggressive, full-service, interdisciplinary knowledge to solve our clients' insolvency issues. We also provide the experience and insight of lawyers well-versed in the related areas of lender liability, professional malpractice, and director and officer liability. Our bankruptcy services include representations of both debtors and creditors in cases filed under Chapters 7 and 11 and of global entities under Chapter 15 seeking recognition of foreign proceedings and implementation of debt restructuring plans. We routinely represent trustees in major matters seeking recovery of assets on behalf of bankrupt estates. Our insolvency and bankruptcy lawyers represent a wide variety of sophisticated clients in bankruptcy cases and in non-bankruptcy reorganization, restructuring, workout and liquidation. We support and collaborate with our highly experienced colleagues in lending, litigation, real estate, securities, business, environmental and tax matters.

International

Our attorneys have experience in serving the needs of our international clients, including their general corporate, mergers and acquisitions, securities, commercial and finance, intellectual property, litigation, employment, real estate and tax needs. We handle commercial contracts, licensing and distribution for international clients doing business in the U.S. Our lawyers have worked extensively on cross-border joint ventures, strategic alliances and investments involving the laws of multiple jurisdictions, and litigation and arbitration before a variety of tribunals including, among others, the American Arbitration Association (AAA), the International Chamber of Commerce (ICC), the United Nations Commission on International Trade Law (UNCITRAL), and the World Bank.

Litigation and Arbitration

Schnader is known for its outstanding trial and appellate work, which often crosses borders and involves multijurisdictional issues. Our litigators are experienced in complex commercial litigation in the federal and state courts, including intellectual property, securities, antitrust, construction, financial services, environmental and real estate disputes.  We also handle cases involving all manner of torts, employment, aviation, franchise and distribution, product liability and insurance coverage issues. Schnader lawyers are skilled in mediation and arbitration techniques and regularly litigate private disputes before various arbitral and self-regulatory organizations, including JAMs, AAA, ICC, the Financial Industry Regulatory Authority, Inc. (FINRA), UNCITRAL, and the World Bank.

Construction

Schnader's Chambers-rated construction group enjoys a well-established reputation for developing innovative legal solutions to challenging construction problems. Our construction lawyers bring years of experience and familiarity to the issues of construction law and litigation, whether those issues arise during the pre-construction drafting of agreements, or after suit or when arbitration is filed. The construction group's practice encompasses an array of clients, including owners, general and specialty contractors, sureties, and insurers. Members of the group have been involved in virtually every conceivable type of construction project from hospitals, museums, office buildings and courthouses to process and treatment plants, dams, bridges, tunnels, transportation and marine facilities, and power plants.

Real Estate and Real Estate Leasing

Schnader’s real estate lawyers serve a wide range of clients, including individuals and businesses, in real estate acquisitions and dispositions, financings, restructurings and workouts, and leasing, land use and zoning issues. We represent both landlords and tenants in industrial, commercial and retail leasing. The interdisciplinary retail industry team represents shopping center owners, online and brick and mortar retailers, apparel and accessory stores, restaurant chains, discount retailers and national and regional retailers and provides a full spectrum of  lease-related services, including distressed and arms-length acquisitions, ADA compliance, permitting and zoning advice.

Intellectual Property and Information Technology

The firm’s intellectual property lawyers handle a wide range of matters for clients, domestic and international, in the areas of patent and trademark prosecution, and copyright, trademark, trade secret and unfair competition disputes. Our attorneys handle the negotiation of technology and commercial transactions involving computer systems, outsourcing, e-commerce, patent licensing, intellectual property content distribution and computer hardware.

Employment

Employment lawyers represent and counsel employers and senior executives on matters relating to all phases of the employer-employee relationship. Our attorneys litigate and arbitrate termination, discrimination and employment law issues. They regularly appear on behalf of clients before the Equal Employment Opportunity Commission, the New York State Division of Human Rights and FINRA. They assist and advise clients in the preparation of employment and consulting agreements, separation agreements, employment handbooks, policies and manuals and are regularly called upon by employers to conduct internal investigations and compliance audits.

Trusts and Estates

Our trusts and estates lawyers provide estate planning as well as estate and trust administration services to clients. They advise clients on wills, powers of attorney, healthcare proxies, gifts and bequests, educational trusts, living trusts, irrevocable insurance trusts, offshore asset protection trusts, qualified personal residence trusts, and grantor retained annuity and unitrusts. Our attorneys create and assist in the implementation of estate freezing devices such as family limited partnerships and limited liability companies. They counsel clients on the creation of private foundations, charitable remainder and charitable lead trusts. The practice also includes handling contested probate, contested accounting and other litigated estate and trust matters.

Follow the signs to the Airport Exit.  Take the Parkway West ramp towards Manhattan.  Merge onto the Grand Central Parkway West.  Take the Brooklyn-Queens Expressway exit (number 4) towards the Verrazano Narrows Bridge (I-278 West).  Merge onto the Brooklyn Queens Expressway East.  Take the I-278 West exit. Take the Williamsburg bridge exit on the left. Merge onto the Williamsburg Bridge. Take a slight right onto Delancey Street. Turn left onto Bowery. Bowery becomes Chatham Square. Chatham Square becomes Park Row. Take I-87 South to the George Washington Bridge exit.
