Schnader Attorneys to Speak at PBI’s 13th Annual Nonprofit Institute

Schnader attorneys Noel A. Fleming, Marla K. Conley, and Molly Sharbaugh Unterseher will speak at the Pennsylvania Bar Institute’s 13th Annual Nonprofit Institute on May 27, 2015.

Mr. Fleming, who also is a course planner for the Institute, will present “Managing the Board-Executive Director Relationship.” He will discuss the roles and responsibilities of the nonprofit board in its capacity as the organization’s decision-making and goal-setting body with a particular emphasis on the relationship it has with its chief executive.

Marla K. Conley, Nonprofit Organizations co-chair, will co-present two different sessions at the Institute with Alison DiFlorio, President of the HR Division at eXude, Inc. The first session, titled “Restructures Part I: Mergers and Affiliations among Charities” will focus on the legal differences between mergers, acquisitions, and affiliations. Attendees will learn due diligence and human resource strategies to use when planning relationships with other organizations. The second session, “Restructures Part II: Other Corporate Reorganizations and Dissolutions,” will examine legal options for reorganizations, including divisions, formation of new subsidiaries, and dissolutions, and the best practices to manage a restructure. 

Molly Sharbaugh Unterseher will give a two-part presentation. In the first panel, “Starting a Pennsylvania 501(c)(3) Charity,” attendees will learn about entity options available and the process for forming a nonprofit organization at the state level. In the second panel, “Maintaining a Pennsylvania 501(c)(3),” Ms. Unterseher will examine the registration process for fundraising and qualifying for tax exemptions, as well as the scope of the unrelated business income tax.
