Seminar – Private Foundations: Considerations for Terminating or Restructuring

Morgen Cheshire, co-chair of the Nonprofit Organizations Practice Group, and Marla K. Conley, an associate in the Firm’s Philadelphia office, presented a CLE seminar, “Private Foundations: Considerations for Terminating or Restructuring” sponsored by The Philadelphia Foundation. The seminarĀ gave participants an opportunity to understand the reasons a private foundation might consider termination in the first place and then take a close look at the pros and cons of alternative arrangements including dividing, consolidating, or transferring assets to a public charity or donor-advised fund. The presentation covered the nuts and bolts of tax considerations that may be triggered by termination as well as the ethical issues that may arise.
